We provide the service "as is" and are not liable for indirect or consequential damages. In no event shall Daily Intentions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages.
Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Subscriptions and Payments
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly, annually, or as otherwise specified).
- Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.
- Payment Method: You must provide current, complete, and accurate billing information.
- Price Changes: We reserve the right to modify subscription fees with at least 30 days notice.
- Cancellation: You may cancel your subscription at any time through your account settings.

Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at admin@dailyintentions.com. We will attempt to resolve the dispute informally within 60 days.
Binding Arbitration
If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Consumer Arbitration Rules, rather than in court.
- The arbitration will be conducted in Minnesota, or at another mutually agreeable location.
- The arbitrator's decision will be final and binding.
- You may opt out of arbitration within 30 days of first accepting these Terms by emailing us.
Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually.To the full extent permitted by law:
- No arbitration or proceeding shall be joined with any other
- There is no right or authority for any dispute to be arbitrated on a class-action basis
- There is no right or authority for any dispute to be brought in a purported representative capacity
Exceptions
Notwithstanding the above, either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek equitable relief in court for infringement or misuse of intellectual property rights.
Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
